TERMS AND CONDITIONS OF THE "Discount Code - Newsletter" PROMOTION 

on the website www.greencell.global/en/

§ 1. DEFINITIONS 

The terms used in these Terms and Conditions shall have the following meaning:  

1. Organiser – CSG Spółka Akcyjna with registered office in Kraków, ul. Kalwaryjska 33, 30-509 Kraków, entered in the Register of Entrepreneurs of the National Court Register kept by the District Court for Kraków-Śródmieście in Kraków, Commercial Division XI of the National Court Register under KRS (National Court Register) number: 0000714229, NIP (Tax Identification Number): 6793163992, REGON (National Official Business Register): 369293269, BDO (Waste Database): 000011314, share capital: PLN 350,000.00, paid up in full. 2. Store – online store operating on www.greencell.global/en/;

3. Products – electronic equipment and consumer electronics, especially Green Cell branded, offered for sale in the Store;

4. Promotion – promotion organised by the Organiser in the Store, consisting in awarding the Promotion Participant with  a discount code of 10% on the regular gross selling Price of Products currently offered in the Store within the Promotion Period;  

5. Promotion Period – period when the Promotion Participant can participate in the Promotion;

6. Customer – natural person, being a consumer, who participates in the promotion; having fulfilled the Promotion conditions, the Customer becomes a Promotion Participant;

7. Terms and Conditions - these Terms and Conditions regulating the terms of the promotion, including but not limited to the conditions for the award of the discount to the Customer.

§ 2. PROMOTION CONDITIONS

1. The promotion is effective until cancelled. 

2. The Promotion Participant can use the Discount on the conditions provided for in these Terms and Conditions within 1 year from its receipt.

3. The Promotion is addressed to persons who sign up for the Newsletter Service provided by the Organiser, provide their e-mail address for that purpose and, thus, grant their consent to receipt of commercial information regarding new products, current offers and special events to the specified e-mail address. 

4. After the Customer clicks the link confirming signing up for the Newsletter received from the Organiser, the Organiser automatically sends an e-mail with the discount code to the Customer.

5. Participation in the Promotion is and voluntary and free of charge.

6. The Promotion applies to only to shopping done in the Store within its period.

7. The Promotion does not apply to:

1. Products on sale (i.e. Products the price of which is reduced by the Organiser),

2. Products the price of which is already covered with coupons, vouchers, promotions, reductions, rebates or other special price or product offers,

3. Products excluded from the Promotion - as listed in Appendix No. 1 to the Terms and Conditions available on: https://greencell.global/en/content/94

8. To participate in the Promotion, the Customer must take the following actions:

1. granting consent to receipt of commercial information, including the Newsletter, by means of electronic communication,

2. familiarisation with and acceptance of these Terms and Conditions,

3. purchase of Products covered with the Promotion within the promotion Period, 

4. before placing the order - entering the discount code received by the Promotion Participant from the organiser in the Basket section and pressing the button "Apply". 

7. Award of the discount means that the regular price for the Product or Products purchased by the Promotion Participant in the Store will be reduced by the value of the discount code, i.e. by 10% calculated based on the full regular price of the Product or Products. The discount code does not reduce any delivery costs which shall be charged to the Promotion Participant in full.

8. The Promotion Participant can use the discount code only once within the Promotion Period. 

9. The discount code granted by the Organiser as part of the promotion cannot be paid out in cash or exchanged for any other means of payment and is non-transferable.

§ 3. RETURN AND REPLACEMENT OF PRODUCTS

1. Products purchased by the Customer as part of the Promotion can be returned or replaced on the terms effective in the Store. 

2. If the Promotion Participant returns a Product purchased as part of the Promotion, the Organiser will return the price actually paid for the Product (i.e. the price reduced by the value of the Discount). 

3. The provisions of these Terms and Conditions do not affect or limit the right to complaint under implied warranty or limited warranty or under other commonly governing law.

§ 4. COMPLAINTS 

1. All potential complaints regarding the Promotion can be lodged by the Promotion Participant within 30 days from the day of purchase or attempt to purchase the Product.  

2. The complaint must be submitted to the Organiser in writing, preferably by a registered letter, to the Organiser's address specified in §1 of the Terms and Conditions, or to the e-mail address, with note: "Discount Code - Newsletter".

3. The complaint must contain the name and surname, correspondence address of the Customer and description of circumstances being the basis for the complaint.   

4. The Organiser shall process the complaint within 14 days from its delivery. The Customer will be notified of the result of complaint processing by a registered letter sent to the correspondence address or e-mail address specified by the Customer in the complaint.  

§ 5. PROCESSING OF PERSONAL DATA

1. The Controller of your personal data is CSG S.A. (Company) with registered office in (30-509) Kraków, ul. Kalwaryjska 33.

2. The Controller can be contacted in any matter regarding processing of your personal data by e-mail: [email protected] or by telephone: +44 870 495 8021.

3. When applying for the Promotion, the Customer grants consent to the Organiser to process the personal data provided by him/her in connection with participation in the Promotion. Providing the personal data is voluntary, but failure to provide them makes participation in the promotion impossible.

4. Your personal data will be processed:

1. to enable participation in the Promotion, until expiry of the period of limitation of claims of Customers connection with participation in the Promotion, and if the Customer grants an additional optional consent, including for marketing purposes - until that consent is withdrawn - under Article 6(1)(a) of the General Data Protection Regulation No. 2016/679 (Regulation 2016/679),

2. for the purpose of performance of the legal obligations imposed on the Company under the commonly governing law - the legal basis for processing is Article 6(1)(c) of Regulation 2016/679,

3. for analytical and statistical purposes - the legal basis for processing is the Company's legitimate interest (Article 6(1)(f) of Regulation 2016/679). The Company's legitimate interest is analysis of results of the business activity conducted by it,

4. for the purpose of the Company's legitimate interest consisting in potential establishment or pursuit of claims or defence against claims - the legal basis for processing is Article 6(1)(f) of Regulation 2016/679. 

5. Your personal data will be transferred to:

1. providers of IT systems and IT services,

2. entities providing the Company with services required to perform the contract concluded with you, including but not limited to processing of complaints, accounting services, invoicing and contract settlement, service quality review, debt collection, legal services, analytical and marketing services,

3. postal operators and couriers,

4. banks and providers of electronic payment services in the scope of payment execution,

5. authorities authorised to receive your data under the law.

6. Your personal data will be processed within the Promotion Period. The period of processing of personal data may be each time extended by the claims limitation period if processing of personal data is required for the Company to pursue potential claims or defend against such claims. After the said period, the data will be processed only in the scope and for the period required by the law, including the accounting law. To the extent the data are processed to provide you with marketing content, the data will be processed until you object to such processing. 

7. Each consent granted can be withdrawn at any time. Withdrawal of a consent does not affect lawfulness of processing performed prior to its withdrawal. For evidence purposes, the Company requests that you withdraw your consents in writing or by means of electronic communication.

8. You have the right to access the content of your data and request their rectification, erasure, restriction of processing, right to data portability and right to object to processing of data.

9. You also have the right to submit a compliant to the supervisory authority for personal data protection, i.e. President of the Personal Data Protection Office (ul. Stawki 2, Warsaw) if you believe that processing of your personal data is in breach of Regulation 2016/679.

10. You have the right to object to processing of your personal data for the purpose of providing you with marketing content. Furthermore, as regards processing of your personal data for the purposes specified in points 3c, 3d, you have the right to object due to reasons connected with your special situation. For evidence purposes, the Company requests that you submit your objections in writing or by means of electronic communication. 

§ 6. FINAL PROVISIONS 

1. The basis for holding the Promotion are the provisions of the Terms and Conditions and the commonly governing law. 

2. The Organiser reserves the right to change the Promotion Terms and Conditions for an important cause, understood as:

1. Change of the law regulating conditions, terms and organisations of the Promotion, which affect the mutual rights and obligations of the Organiser and Promotion Participants, 

2. Change of the method of holding of the Promotion due to technical reasons or caused by introduction of new, modification, removal by the organiser of existing functionalities of the Newsletter service. 

3. If the Promotion Terms and Conditions are changed, the Organiser will inform the Customers about the change by publication of the consolidated text of the Promotion Terms and Conditions in the Store. 

4. The changed Terms and Conditions shall enter into force after expiry of fourteen days from publication of the consolidated text of the Terms and Conditions.  The effective Terms and Conditions shall apply to Discounts valid at the time of change of the Terms and Conditions.

5. Except for situations where the Promotion Participant or Customer exercises his/her right, as a consumer, to file a lawsuit or rely on the law of the country of the Customer's place of residence, these Terms and Conditions are governed by the Polish law and the Promotion Participant or Customer agree to the exclusive jurisdiction of Polish courts for the purpose of resolution of disputes.

6. The Customer or Promotion Participant can submit the dispute on the EU online dispute resolution platform available on http://ec.europa.eu/consumers/odr.

7. The Terms and Conditions are available in the Store on https://greencell.global/en/content/94 and in the Organiser's registered office.

8. The Terms and Conditions enter into force on 15.08.2022.
